01Acceptance of Terms & Master Agreement
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (individually or on behalf of your legal entity, "Client", "Customer", or "You") and Infinitia Hub ("Company", "we", "us", or "our").
By executing a Statement of Work (SOW), accessing the AI Studio Craft SaaS application (apps.aistudiocraft.in), subscribing to API services, or utilizing our cloud systems, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
02Scope of Services & SaaS Platforms
Infinitia Hub provides two primary categories of enterprise capabilities:
Custom autonomous AI agents, enterprise SaaS development, Kubernetes cluster architecture, microservice refactoring, and multi-region DevOps pipelines governed by custom SOW milestones.
Omnichannel messaging software connecting Meta WhatsApp Cloud API, Google RCS, Telegram, Web Widgets, automated chatbots, and team inbox collaboration.
03Authentication, API Keys & Security
You are responsible for maintaining the confidentiality of all administrative credentials, OAuth tokens, and secret API keys issued for your organization.
- You must immediately notify Infinitia Hub of any unauthorized access or security breach involving your API keys or cloud tokens.
- Infinitia Hub will not be liable for any loss or damage arising from your failure to safeguard credentials or enforce multi-factor authentication (MFA).
04Acceptable Use Policy & Carrier Guidelines
You agree to comply fully with the Meta WhatsApp Business Policy, Google RCS Commercial Guidelines, and applicable anti-spam telecommunications regulations (e.g., TCPA, TRAI regulations).
Prohibited activities include transmitting unsolicited bulk commercial spam, malicious code, phishing vectors, or using automated systems to bypass carrier throughput restrictions. Infinitia Hub reserves the right to immediately suspend accounts violating carrier guidelines.
05Intellectual Property & Code Sovereignty
Upon full settlement of contracted milestone fees, Client holds exclusive, perpetual, and unrestricted ownership of all bespoke source code, database architectures, machine learning model weights, and custom proprietary workflows created specifically for Client.
06Payment, Fees & Billing Terms
All fees for SaaS subscriptions and bespoke engineering sprints are billed in advance according to agreed-upon invoices or tier schedules. All payments made to Infinitia Hub are subject to our strict Refund Policy.
- Invoices are payable within the net terms specified (typically Net-15 or Net-30 for enterprise contracts).
- Third-party carrier consumption fees (Meta WhatsApp conversation charges and Google RCS carrier fees) are billed directly or pass-through metered in real-time.
07Service Level Agreement (SLA) & Uptime
For enterprise production contracts, Infinitia Hub targets a 99.99% monthly uptime SLA for core API routing and microservice infrastructure, excluding scheduled maintenance announced with at least 48 hours notice.
08Limitation of Liability & Indemnity
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill. Infinitia Hub's total aggregate liability arising out of or related to this Agreement shall be limited to the total fees paid by Client to Infinitia Hub in the preceding six (6) months.
09Term, Suspension & Termination
Either party may terminate this Agreement upon thirty (30) days written notice if the other party breaches any material term and fails to cure such breach within the cure window. Infinitia Hub may immediately suspend access if fraudulent API abuse or security compromise is detected.
10Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute or claim arising under this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
